  • 1. Takeda - Nycomed
  • Advice in the acquisition of 100% stake in the capital stock of Nycomed Group by Takeda Pharmaceuticals, including the drafting and negotiation of the agreements and necessary documentation to formalize the transaction. Likewise, advisory and implementation of internal restructuring of the Mexican subsidiaries of the Takeda/Nycomed group as a result of the integration between this two groups as well as in connection with the processes with governmental agencies as a result thereof.

  • 2. EMI Group
  • Advise EMI Group regarding the acquisition by Universal Music Group de Vivendi SA of 100% of the capital stock of EMI’s recording division for an amount of ¬1,200 billion pounds (US$1,900 billion dollars) and by Sony/ATV of 100% capital stock of EMI´s publishing company which is charge of the intellectual property rights, for an amount of US$2,200 billions. Likewise, advisory and implementation of internal restructuring of EMI Mexican entities as a result of such acquisition.

  • Advise KPN Group regarding the sale of 100% stake of certain Latin American subsidiaries of the KPN Group, including its 5 Mexican Subsidiaries, in favor of Opengate. Participation in the due diligence process on behalf of sellers, as well as drafting and negotiation of the agreements and necessary documentation to formalize the transaction. Likewise, advisory and implementation of internal restructuring of the Mexican subsidiaries of the KPN group before closing.

  • Advise Arkema Group regarding the sale of 100% stake of certain subsidiaries, including its Mexican Subsidiary “Resinoplast North America”. Participation in the due diligence process on behalf of sellers, as well as drafting and negotiation of the agreements and necessary documentation to formalize the transaction. Likewise, implementation of internal restructuring of Arkema Mexican entity as a result of such acquisition.

  • 5. Pacc Offshore Services Holdings Pte Ltd.
  • Advise Pacc Offshore Services Holdings Pte Ltd. regarding the sale of 50% stake of certain subsidiary “Servicios Marítimos Gosh” in favor of Martín Díaz and Amado Yañez. Participation in the due diligence process on behalf of sellers, as well as drafting and negotiation of the agreements and necessary documentation to formalize the transaction. Likewise, implementation of internal restructuring of Mexican entity as a result of such acquisition.

  • 6. Tyco / ADT Group
  • Advise Tyco/ADT Group regarding the sale of 100% stake of certain Mexican subsidiary “Fire Equipment de México”. Participation in the due diligence process on behalf of sellers, as well as drafting and negotiation of the agreements and necessary documentation to formalize the transaction. Likewise, implementation of internal restructuring of Fire Equipment de México as a result of such acquisition.

  • 7. Goldcorp Inc.
  • Diverse advise in the design and implementation of Peñasquito Mining Project located at Mazapil, Zacatecas, which comprises i) the exploration; exploitation and benefit of minerals (mainly gold); ii) installation & operation of an explosive plant within such mine for the purpose to produce certain type of emulsion that shall be used in the exploitation activities of minerals; iii) diverse drilling contracts; and iv) installation & operation of diverse infrastructure located in such mine (including railroad). Amount: Approximately US$1 billion. Peñasquito mine is expected to be the largest gold mine within Mexico. Advise in diverse corporate and tax restructures of Goldcorp´s operations in Mexico.

  • 8. Companhia Vale Do Rio Doce
  • Design and implementation of the contractual strategy for the acquisition of various mining concessions located in the State of Sonora, as well as the negotiation, drafting and reviewing various agreements, contracts and/or arrangements in order to potentiate the mineral resources in these concessions. Amount: Confidential.

  • 9. Shell Mexico, S.A. de C.V.
  • Advise on project related to LNG Stations in the Mexican Republic; as well as the legal scheme regarding to its transportation from a Regasification Terminal located in Tamaulipas to the final points of sale located within the Mexican Republic. Amount: Approximately US$100 million.

  • 10. International Container Terminal Services, Inc. (ICTSI)
  • Legal advice in the public bidding regarding the award of a partial assignment of rights agreement of the container terminal located at Manzanillo, Colima for the construction and operation of a container terminal in the aforementioned port. Amount: Approximately US$700 million.

  • 11. APM Terminals, B.V.
  • Diverse advice in connection with bidding process No. APLIAC/TECII/01/11 and awarding by SCT of a partial assignment of rights regarding a specialized container terminal, located at the Lazaro Cardenas Port, with a surface of 910,000 square meters, the negotiation and execution of a consortium and Shareholders´ Agreement with Ingenieros Civiles Asociados (ICA), financing of project and labor matters related therewith, including union matters, as well as advise related with the implementation of the project, including EPC contracts with ICA. Amount: Approximately US$900 million.

  • 12. Access Capital Advisers
  • Acquisition of 40.1% of the equity of Integrated Gas Services de México (“IGASAMEX”), whose subsidiaries are holders of various licenses to transport natural gas in Mexico. These agreements allow an open access for transporting natural gas from one location to another, creating for this purpose the necessary infrastructure to give full effect to it.   • Project for the modernization of the water filtration treatment plant "Los Berros", in the State of Mexico, by building a new module for potable water treatment system that will form an integral part of the Cutzamala System, same which consists of a hydraulic system for storage, handling, purification and distribution of fresh water for the population and industry of the State of Mexico and Mexico City.   • 14. SAAM Mexico
  • Public Bidding on the award of a partial assignment of rights agreement derived from the concession for the comprehensive management of the port of Mazatlan, which includes among other things (i) exploitation, use and development of an area of water and public lands located in the port of Mazatlan, Sinaloa; (ii) the construction of works in that area; and (iii) the provision of port services en that terminal.   • 15. Pirelli Neumáticos, S.A. DE C.V.
  • Project relating to the construction of a plant of tires for cars and trucks, located in Silao, Guanajuato. The plant has an area of 120,000 square meters, started operations in 2012, with a daily production target of 10,500 tires and an annual capacity of 3.5 million in 2014, which will grow to 5 million tires in 2015. Amount: Approximately US$400 million.

  • 16. APM Terminals Mexico, S.A. DE C.V.
  • Advise on project consisting in, among others, the assignment of a permit granted by the Communications and Transportation Department to Contrimodal, for the provision of auxiliary services of a specialized cargo terminal located in Cuautitlan Izcalli, State of Mexico, with a surface of 41,014.73 m2, acquisition of related assets and negotiation of lease of such terminal.   • Dissolution of joint venture and acquisition of 100% of shares in leading companies related to the oil business. Amount: Confidential.

  • 18. Citadel Plastics Holdings, INC.
  • Sale of company, negotiation of credit facility and constitution of guarantees with GE, including pledges over certain shares representing capital stock of Mexican companies. Amount: Approximately US$320 million.
